These Terms of Service ("Terms") govern your use of wellba.ai, including our website, mobile experience, and AI companion features (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

Wellba is an AI-powered emotional wellbeing companion — not human, not a medical or therapeutic service.
Medical Emergencies: DO NOT USE THIS SERVICE FOR MEDICAL EMERGENCIES. Call 911 or go to the nearest emergency room immediately.
Mental Health Crisis: Contact the 988 Suicide & Crisis Lifeline (call or text 988) or the Crisis Text Line (text HOME to 741741) immediately. These resources are available 24/7.
You must be at least 18 years old to use Wellba. This Service is designed for adults seeking emotional wellbeing support. It is not a crisis service, medical tool, or substitute for professional care. It is not intended for people in active mental health crisis or for medical professionals seeking clinical tools.
If you are under 18, you are not authorized to use this Service. If we learn that a user is under 18, we will terminate that account.
Wellba offers AI-powered companions designed to provide a warm, consistent, non-clinical space for emotional support, reflection, and wellbeing. Our companions:
Wellba's companions are designed to be warm, consistent, and caring — and we take that seriously. Over time, some users may feel a meaningful sense of connection with their companion. We welcome that. It reflects the quality of the experience we work hard to create.
At the same time, we want to be honest with you about what that connection is and isn't:
What You Can Do: Use Wellba for personal, non-commercial emotional wellbeing support. Interact in English or Spanish. Opt in to receive scheduled follow-up messages by email.
What You May Not Do:
Violation of any of the above is grounds for termination of your access to the Service.
You own the text and information you share with Wellba. We do not access your medical records or insurance information. By using the Service, you grant Wellba a limited license to process your input solely to provide and improve the Service.
We will never sell your personal data to third parties. We use your information in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
Wellba uses an email-based account system. To use the Service, you create an account verified by a one-time code sent to your email. Your conversation history is stored securely and associated with your account.
All content, features, software, and materials on Wellba — including the AI companions, interface design, and brand elements — are the property of Wellba or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written permission.
The Wellba name, logo, and companion names are trademarks of Wellba. You may not use them without express written permission.
The Service may contain links to third-party websites or services. Wellba is not responsible for the content, accuracy, or practices of any third-party site. Your interactions with third parties are solely between you and that party.
Wellba uses third-party technology providers (including AI model providers) to deliver its Service. These providers operate under their own terms and privacy policies. We select providers who meet our privacy and safety standards.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WELLBA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WELLBA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.
TO THE FULLEST EXTENT PERMITTED BY LAW, WELLBA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING ANY HEALTH OR SAFETY DECISIONS MADE BASED ON AI OUTPUT, LOSS OF DATA, OR LOSS OF GOODWILL. IN NO EVENT SHALL WELLBA'S TOTAL LIABILITY TO YOU EXCEED ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In those jurisdictions, the above limitations apply only to the fullest extent permitted by law.
You agree to defend, indemnify, and hold harmless Wellba and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
Wellba may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our discretion. You may stop using the Service at any time. Upon termination, your rights under these Terms cease immediately.
Provisions that by their nature should survive termination — including Sections 7, 9, 10, 11, and 14 — will survive.
We may update these Terms from time to time. We will notify you of material changes by posting an updated version on our website and updating the Effective Date above. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to updated Terms, please stop using the Service.
These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in New York, and you consent to personal jurisdiction in those courts.

During conversations with your companion you may also share how you are feeling, the experiences or goals that brought you to Wellba, and topics you choose to explore. You decide how much or how little you share — the Service is designed to work with what you choose to provide.
Information Collected Automatically: We collect limited technical data to maintain app stability and improve the Service — including IP address, device type, browser type, and general usage patterns. We use a single functional cookie to recognize your device between sessions. This cookie is strictly necessary for the app to remember you between visits. It is not used for advertising, analytics, or tracking. No third-party cookies are set by Wellba.
Conversation Data: The content of your conversations with your AI companion is used solely to provide and personalize the Service. Your conversation history enables your companion to remember your story across sessions. We do not share the content of your conversations with third parties for advertising purposes, and we never sell your transcripts. Authorized Wellba team members may access conversation transcripts for safety monitoring, quality review, and service improvement. This access is limited, controlled, and subject to confidentiality obligations.
We use the information we collect for the following purposes:
Wellba uses a single functional cookie to recognize your device between sessions. This cookie is strictly necessary for the app to work — without it, the app cannot remember you between visits. It is not used for advertising, analytics, or tracking. No third-party cookies are set by Wellba.
